Ingenico Reports €150 Million in New Capital Amid Ongoing Restructuring Efforts

Ingenico, a global provider of payment acceptance solutions and terminals, has announced the successful completion of a major capital injection totaling €150 million. The funding forms part of a broader agreement to reshape the company’s capital structure, bringing in fresh equity while addressing its existing debt obligations.

The new capital comes from a consortium of international investors, with Pacific Investment Management Company (PIMCO) taking the lead role.

In connection with the investment, the company will issue convertible preferred stock.

Alongside the equity raise, a portion of Ingenico’s outstanding debt—reported in some coverage as approximately €400 million—will be converted into equity.

This conversion is designed to lighten the firm’s overall indebtedness and reduce its ongoing interest expenses, while giving the participating creditors an ownership stake in return.

As a direct result of the transaction, Apollo Global Management, which has controlled Ingenico since acquiring the business from Worldline in 2022, will fully exit the shareholding structure.

The shift marks a significant change in ownership, transferring influence toward the creditor group and new investors.

The recapitalization arrives after a period of financial pressure.

Ingenico has faced elevated leverage, with earlier reports noting challenges meeting interest payments on its substantial term loan facilities and constraints on liquidity.

The company has been engaged in discussions with lenders to stabilize its balance sheet, and the current agreement represents the outcome of those negotiations.

By strengthening equity and trimming debt service costs, Ingenico aims to improve its financial flexibility and support ongoing operations in the competitive payments sector.

Ingenico designs, manufactures, and supplies electronic payment terminals, software, and related services used across physical retail, e-commerce, and unattended environments worldwide.

Its solutions serve merchants, banks, acquirers, and other payment service providers.

The firm maintains a large installed base of devices and continues to invest in next-generation Android-based smart terminals and cloud platforms to meet evolving merchant and consumer needs.

Alongside the financial restructuring, the company has indicated plans to expand its physical presence by establishing new offices in London, San Francisco, and Istanbul.

These locations are expected to support commercial growth, partnership development, and closer engagement with key markets in Europe, North America, and beyond.

Industry observers view the capital infusion and debt-to-equity conversion as a stabilizing step that should help Ingenico navigate current market conditions, including pressure on hardware margins and the need for continued innovation in digital and unified commerce solutions.

With a cleaner capital structure and backing from experienced financial investors, the company is better positioned to execute its strategy under its current leadership.

The announcement underscores the ongoing evolution of the payments industry, where traditional terminal specialists must adapt to shifting ownership models, technological change, and tighter financing environments. For Ingenico, the €150 million raise and accompanying restructuring provide a foundation for the next phase of its development as an independent player focused on payment acceptance technologies.
